These terms of service ("Terms") are an agreement between you — the individual or the organization you represent — and Balancrix Inc. ("Balancrix", "we", "us"), an Oregon corporation with offices at 4715 Hawthorne Terrace, Suite 300, Portland, OR 97214. They govern your use of the balancrix.bond website and our budget planning services (together, the "Services"). By booking a session, purchasing a plan or using the website, you accept these Terms. If you book on behalf of a household or business, you represent that you have authority to do so.

The nature of our service

Balancrix provides educational budget planning services: sessions with planners, written budget plans, worksheets and ongoing support. Balancrix is not an investment adviser, broker, tax preparer, tax adviser, law firm, accounting firm, lender, debt settlement company or credit repair organization. Our services are planning help, not financial, tax, legal or accounting advice, and they are described in that spirit throughout the website. Please read the important disclaimer as part of these Terms.

Bookings and sessions

Sessions may be booked through the website, by email or by phone. A booking is confirmed when you receive a confirmation email. Sessions are delivered by secure video call or, in Portland, Oregon, in person when agreed. You agree to attend sessions at the scheduled time. You may reschedule free of charge up to 24 hours before the session using the link in your confirmation email or by writing to [email protected]. Sessions cancelled with less than 24 hours' notice, or missed without notice, are charged at the planner's discretion as described in the refund policy; we will always apply common sense for genuine emergencies.

Plans, memberships and payment

Prices for plans and memberships are published on the pricing page and confirmed at booking. Payment is due at the time of booking by credit or debit card. The one-time personal plan has no renewal. Monthly plans renew on the same day each month until cancelled, and you may cancel or pause at any time with effect from the end of the current billing period. If a payment fails, we will pause the plan and contact you. All prices are in US dollars; applicable taxes, where any, will be shown before payment. Refunds are governed by the refund policy.

Written plans and materials

When a plan, worksheet kit or other written material is delivered as part of a service, we grant you a personal, non-exclusive, non-transferable right to use it for your own household's or business's budgeting. The materials remain our property and may not be resold, republished or distributed commercially. You may share them within your own household or your own company freely.

Your responsibilities

You agree to provide accurate information about your situation and to keep your own accounts and records secure. You understand that a budget plan is built from the information you provide and that you remain responsible for your own financial decisions and for the accuracy of the numbers you share. You agree not to use the website or services for any unlawful purpose, to impersonate others, or to attempt to disrupt the website.

Our boundaries

Our planners will stay within the scope of budget planning. We do not provide investment, tax, legal or accounting advice; we do not manage or move client money; we do not connect to client accounts; and we do not negotiate with creditors or promise to settle debts. Where your question belongs to a licensed professional, we will tell you. Nothing on the website is a promise of any particular financial result.

Intellectual property

The Balancrix name, logo, method materials and website content are our property or used with permission. You may not reproduce website content commercially without our written consent.

Confidentiality

We treat what you share in sessions as confidential, as described in the privacy policy, except where disclosure is required by law. You agree not to record sessions without our consent; we record sessions only at your request.

Disclaimer of warranties

The Services and website are provided "as is" and "as available". To the extent permitted by law, we make no warranties, express or implied, including implied warranties of merchantability or fitness for a particular purpose. Planning involves estimates and judgment; we do not warrant that any plan, estimate or worksheet will produce a particular outcome, and we are not responsible for decisions you make based on our materials.

Limitation of liability

To the maximum extent permitted by law, Balancrix and its planners will not be liable for indirect, incidental, special or consequential damages, or for lost profits or lost opportunities, arising out of the Services. Our total liability for any claim related to the Services will not exceed the amount you paid us in the twelve months before the claim. This does not limit liability that cannot be limited by law.

Termination

You may cancel your membership at any time. We may decline or end a relationship with a client who is abusive to planners, breaches these Terms, or whose needs fall outside our scope; in that case we will refund any unused prepaid amounts under the refund policy.

Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected in the effective date above and announced by email to active clients. Continued use of the Services after the effective date means you accept the updated Terms.

Governing law and disputes

These Terms are governed by the laws of the State of Oregon, without regard to conflict-of-law rules. We encourage you to raise any concern with us first at [email protected], and we will work to resolve it fairly. Any dispute that cannot be resolved informally will be resolved in the state or federal courts located in Multnomah County, Oregon, and both parties consent to their jurisdiction. Nothing in this section limits your rights under applicable consumer law.

General

If any provision of these Terms is unenforceable, the rest remain in force. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. These Terms, together with the privacy policy, cookie policy, refund policy and disclaimer, are the entire agreement between you and Balancrix about the Services.
